State Street is seeking an attorney with 2 to 4 years’ experience in corporate law to join a busy legal team. This attorney should bring enthusiastic support to corporate governance and securities law matters. Prefer an attorney willing to work in our Boston, MA offices 3-4 days per week.

What you will be responsible for
As Vice President and Counsel, you will
Assist with corporate governance and corporate secretarial responsibilities, including drafting board resolutions and meeting minutes;
Assist with proxy statement and annual shareholder meeting preparation;
Assist with shareholder outreach efforts;
Liaise with external service providers, including external legal counsel;
Research peer company governance practices and disclosure;
Review quarterly Form 10-Q and annual Form 10-K SEC filings;
Review Section 16 officer reports and other securities filings;
Conduct director independence evaluations;
Support the Company’s securities trading policy and program; and
Support senior members of the department with other related projects.

Education & Preferred Qualifications
Bachelor's and juris doctor degrees.
Admitted to practice in good standing in at least one U.S. jurisdiction.
2-4 years of relevant corporate legal experience.
Direct experience with SEC and NYSE reporting obligations for public companies desirable.
Able to participate in video conferences on remote working days.
